Progress on Foxconn Industrial Internet Co., Ltd.'s investment fund participation:
(1)Yantai Haixiu IC Investment Center (Limited Partnership) (hereafter referred to as "Yantai Haixiu") shall transfer the target shares to a third party at a price no less than RMB 5.38 billion or the price of shares held by Xingwei (Guangzhou) Industrial Investment Partnership (Limited Partnership) (hereafter referred to as "Xingwei Fund") corresponding to the net value of Shengyue (Guangzhou) Industrial Investment Partnership (Limited Partnership) at that time, or the highest price otherwise agreed by the parties. Yantai Haixiu shall pay the purchased price for the transferred target shares to Xingwei Fund's designated joint bank account within 5 working days after receiving the payment from the third party or within the time limit otherwise agreed in writing.
(2) Whether Yantai Haixiu finds a transferee or not, the purchased price for the transferred target shares shall be paid to Xingwei Fund's designated joint bank account after Tsinghua Unigroup Ltd. issues its 2022 valuation report but no later than March 15, 2023.
(3)Risk Warning: At present, Xingwei Fund has not received the target share transfer payment. This carries the risk that Yantai Haixiu may not be able to comply with the contract in the future. Investors are reminded to pay attention to investment risks.
