TRANSFER OF TREASURY SHARES
In accordance with the provisions of Listing Rule 12.6.4, the Company hereby notifies you that on 23 October 2012 it transferred at nil consideration 252,910 Ordinary shares held in Treasury to participants (non-PDMRs) to satisfy the vesting of awards under the Hays plc Performance Share Plan.
Following this transfer, Hays plc holds 65,849,586 Ordinary shares in Treasury. The number of shares in issue is 1,398,246,980 (excluding treasury shares).
