Appointment of Non-Executive Directors

The Board of Greggs plc is pleased to announce the appointment of Peter McPhillips as an independent non-executive director with immediate effect, and of Sandra Turner as an independent non-executive director with effect from the close of the Annual General Meeting to be held on 1 May 2014. These appointments fill the vacancies to be created when Iain Ferguson and Julie Baddeley step down from the Board at the close of the Annual General Meeting.

Peter McPhillips has spent most of his career in food manufacturing having held a number of senior executive positions including Divisional Managing Director of Hillsdown Holdings, Director of Terranova, which was the chilled foods business demerged from Hillsdown Holdings, and ultimately as UK Managing Director of Uniq plc, running food production businesses across the UK. More recently, Peter was European Chairman of Hain Celestial Group. Peter is currently a non-executive director of Browns Food Group, a privately owned chilled and frozen food producer.

Peter will join the Audit, Remuneration, and Nominations Committees on appointment.

Sandra Turner spent her executive career working in large, consumer-focused companies, most notably 21 years at Tesco plc, as a member of the senior management team holding several commercial roles, including that of Commercial Director in Ireland between 2003 and 2009. Since then Sandra has developed a portfolio of non-executive roles, and was a director of Northern Foods plc until early in 2011. Sandra is currently a non-executive director of Carpetright plc, McBride plc, (where she also Chairs the Remuneration Committee), Countrywide plc, and is also a non-executive director of the Finnish-listed packaging company Huhtamäki Oyj. Sandra is also Vice Chair of Berkhamsted School.

On joining the board Sandra will be appointed as Senior Independent Director, Chair of the Remuneration Committee, and will join the Audit and Nominations Committees.

Listing Rule 9.6.13R (1) to (6) Disclosures

Peter McPhillips was a director of Safetoeat Limited which went into administration in May 2008 and Creditors' Voluntary Liquidation in May 2009. There are no other matters required by paragraphs 9.6.13R (1) to (6) of the Listing Rules to be disclosed in relation to Peter McPhillips.

There are no other matters required by paragraphs 9.6.13R (1) to (6) of the Listing Rules to be disclosed in relation to Sandra Turner.
