Director/PDMR Shareholdings

Genus announces that conditional nil-cost share options were granted yesterday under the Genus 2004 Performance Share Plan (the "PSP") to:

· Karim Bitar, Chief Executive, as to 73,107 ordinary shares of 10 pence each in the Company ("Shares");

· Stephen Wilson, Group Finance Director, as to 43,347 Shares;

· Bill Christianson, Chief Operating Officer, Genus PIC, as to 22,520 Shares;

· Saskia Korink Romani, Chief Operating Officer, Genus ABS, as to 18,887 Shares;

· Jerry Thompson, Chief Operating Officer, Genus Asia, as to 21,231 Shares;

· Denny Funk, Chief Scientific Officer, as to 16,559 Shares;

· Catherine Glickman, Group Human Resources Director, as to 21,762 Shares; and

· Tom Kilroy, Group General Counsel & Company Secretary as to 26,539 Shares

Under the PSP, the Share options that have been granted are subject to challenging performance conditions that relate to the growth in the Company's adjusted earnings per share over a three year performance period and which trigger vesting on an incremental basis. More demanding performance targets apply to the portion of the Share options granted that exceed 125% of salary for the Chief Executive and 100% of salary for the other PSP participants listed above. Details of the performance conditions that apply to the Share options can be found in the Directors' Remuneration Report of the Company's Annual Report & Accounts.

Genus further announces that:

· 9,552 ordinary shares of 10 pence each in the Company ("Share(s)") were today sold on behalf of Bill Christianson, Chief Operating Officer, Genus PIC, at a price of 1,430 pence per Share. This sale was made further to the vesting of 24,418 conditional nil cost Share options on 11 September 2013 under the Company's Performance Share Plan (the "PSP"). The remaining exercised 14,866 Share options that vested under the PSP in September 2013 have been retained by Bill Christianson.

· on behalf of Jerry Thompson, Chief Operating Officer, Genus Asia:

o 16,452 Shares were today sold at a price of 1,430 pence per Share. This sale was made further to the vesting of 21,452 nil cost Share options on 11 September 2013 under the PSP; and

o 5,054 Shares were today sold at a price of 1,430 pence per Share. This sale was made further to the vesting of 18,640 market value Share options on 17 September 2012 under the Company's Executive Share Option Plan (the "ESOP").

Karim Bitar's direct shareholding in the Company stands at 36,963 Shares representing 0.061% of the issued share capital of the Company that is currently 60,665,678 Shares. In addition, he is the beneficial owner of 212,445 conditional nil-cost Share options.

Stephen Wilson's direct shareholding stands at 3,000 Shares representing 0.005% of the issued share capital of the Company. In addition, he is the beneficial owner of 86,410 conditional nil-cost Share options under the PSP.

Bill Christianson's direct shareholding stands at 14,287 Shares representing 0.024% of the issued share capital of the Company. In addition, he is the beneficial owner of 80,983 conditional nil-cost Share options under the PSP.

Saskia Korink Romani has no direct shareholding in the Company and is the beneficial owner of 37,650 conditional nil-cost Share options under the PSP.

Jerry Thompson has no direct shareholding in the Company and is the beneficial owner of 17,545 conditional market value Share options under the ESOP and 48,134 conditional nil-cost Share options under the PSP.

Denny Funk has no direct shareholding in the Company and is the beneficial owner of 25,568 conditional market value Share options under the ESOP and 33,576 conditional nil-cost Share options under the PSP.

Catherine Glickman's direct shareholding in the Company stands at 1,657 Shares representing 0.003 % of the issued share capital of the Company. In addition, she is the beneficial owner of 44,213 conditional nil-cost Share options under the PSP.

Tom Kilroy has no direct shareholding in the Company and is the beneficial owner of 26,539 conditional nil-cost Share options under the PSP.
