ContourGlobal Announces Series of Fixed Income Investor Calls and Potential Private Offering of Senior Secured Notes

December 8, 2020 - Luxembourg: ContourGlobal Power Holdings S.A. (the "Issuer") today announced a series of fixed income investor calls and its intention to offer, subject to market conditions, €710 million aggregate principal amount of senior secured notes due 2025 (the "2025 Notes") or senior secured notes due 2027 (the "2027 Notes" and collectively, the "Notes") in a private offering to eligible purchasers.

The Issuer intends to use a portion of the net proceeds from the notes offering to redeem the €450 million aggregate principal amount of its 3.375% senior secured notes due 2023 and to use the remaining net proceeds to pay for a portion of the previously announced Western Generation acquisition, a 1,502 MW portfolio of long term contracted assets in the United States and Caribbean.

Cautionary Statement

The Notes will be offered in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"), only to qualified institutional buyers in reliance on Rule 144A under the Securities Act and, outside the United States, to non-U.S. investors pursuant to Regulation S under the Securities Act.
