GLANBIA CO-OP conclude placing OF 8.7 MILLION PLC SHARES

22 May 2017, Glanbia plc, the global nutrition Group ("Glanbia", the "Group" or the "plc") have been informed by Glanbia Co-operative Society Limited (the "Co-op") that J&E Davy and Goodbody Stockbrokers have placed (the "Placing"), on the Co-op's behalf, approximately 8.7 million ordinary shares in Glanbia, equivalent to approximately 3% of Glanbia' s issued share capital, at a price of €17.80 per share. The placing is expected to complete by 25 May 2017.

Once the Placing has completed the Co-op will hold approximately 33.5% of the issued share capital of Glanbia.

The Co-op also plans to distribute approximately 5.9 million Glanbia shares to over 14,000 individual Co-op members, equivalent to 2% of the issued share capital of Glanbia (the "Spin Out"). The Spin out is not expected to be completed before 10 August 2017.

Prior to today's Placing the Co-op owned approximately 36.5% of the issued share capital of Glanbia. Once the Placing and the Spin out are executed in full the Co-op's holding will reduce to 31.5% of the issued share capital of Glanbia.
