Grant of Warrants
Guild Esports PLC (LSE: GILD; OTCQB: GULDF), a global teams organisation and lifestyle brand, announces that it has granted a total of 50,000,000 warrants to subscribe for new ordinary shares of £0.001 each ("Warrants") to the Company's directors, executive management and senior leadership team to incentivise and reward management and team performance.
The Company has granted 40,000,000 warrants to directors and executive management as follows:

In relation to CEO Jasmine Skee's grant of warrants for five years, one third of the warrants will vest on the first anniversary of engagement, one third on the second anniversary of engagement and the remaining one third on the third anniversary of engagement, subject to Jasmine Skee being engaged by the Company on such vesting dates.
In order to avoid the grant of warrants being considered to impair the independence of the Company's non-executive directors, the warrants granted to the Company's non-executive directors are not subject to any vesting conditions.
The Company has granted the remainder of the warrants totalling 10,000,000 in aggregate to senior management and staff. These warrants are subject to minimum engagement conditions, following which they vest in full.
The following information relating to the transaction by a Director has been filed with the Financial Conduct Authority in accordance with Article 19(1) of UK MAR.
