PDMR Dealing, Issue of Equity and Total Voting Rights
LONDON, 30 NOVEMBER 2022
In accordance with AIM Rule 17, shareholders are advised that Gemfields has issued and allotted 2,607,767 new ordinary shares of USD0.00001 each in the Company ("Ordinary Shares") following the exercise of share options by group employees and Kartikeya Parikshya (a person discharging managerial responsibilities, or "PDMR").
Kartikeya Parikshya has exercised 1,000,000 share options at an exercise price of ZAR2.30 per Ordinary Share and 471,377 share options at an exercise price of ZAR2.97 per Ordinary Share. Following the above transactions, Kartikeya Parikshya will own 1,516,377 Ordinary Shares, representing 0.12 per cent of the Company.
A further announcement will be made once the sale of the above 1,471,377 Ordinary Shares by Kartikeya Parikshya is completed.
Applications have been made for the 2,607,767 new Ordinary Shares to be admitted to trading on AIM and the JSE, both of which are expected to occur on or around 5 December 2022 ("Admission").
Following Admission there will be 1,210,087,232 Ordinary Shares in issue with each Ordinary Share carrying the right to one vote. This is also the total voting rights figure which may be used by shareholders as the denominator for the calculations by which they can determine whether they are required to notify their interests in, or a change to their interest in the Company.
