Gemfields Plc ("Gemfields" or the "Company") Rox Conduit Limited ("RoxC") WITHDRAWAL OF PROPOSED OFFER FOR SHARES IN GEMFIELDS PLC 15 September 2009

Gemfields (AIM: GEM) notes the announcement made earlier today by RoxC in respect to its withdrawal from the possible offer for the issued share capital of the Company. Accordingly, the Company is no longer in an offer period for the purposes of the Takeover Code.
