Result of Placing and Subscription

Posting of Circular

Gelion (AIM: GELN) the Anglo-Australian battery innovator, is pleased to announce that, further to the announcement made earlier today and due to further demand in the accelerated bookbuild process, which has now closed, the Company has, in line with the Terms and Conditions of the Placing, increased the size of the Placing and Subscription to approximately £4.04 million pursuant to the Placing of 7,886,288 Placing Shares and a Subscription of 8,952,070 Subscription Shares at an Issue Price of 24 pence per New Share.

As part of the Fundraising, the Company also announced details of a Retail Offer to be made to Shareholders in the UK and qualifying Shareholders in Australia to raise up to an additional maximum £450,000 (assuming full take up of the Retail Offer) through the issue of up to 1,875,000 Retail Shares at the Issue Price. In the UK the Retail Offer is being conducted via the Bookbuild Platform and in Australia, the Company will liaise directly with qualifying Shareholders. The UK Retail Offer and the Australian Retail Offer are expected to close at 4:30 p.m. on 22 November 2023 (GMT) and 3:30 a.m. (AEDT) on 23 November 2023 respectively, the results of the Retail Offer will be announced separately thereafter.

Posting of Circular and Notice of General Meeting

The Placing, Subscription, Retail Offer and Acquisition are each conditional, inter alia, upon Shareholders approving the Resolutions at the General Meeting. The Circular, which contains the Notice of General Meeting, in respect of the Fundraising and Acquisition is expected to be posted to Shareholders tomorrow and will also be available on the Company's website www.gelion.com.
