In conformity with the FCA's Disclosure and Transparency Rules, we would like to notify the market of the following:

As at 30 September 2013, the Company's issued share capital consists of 281,384,013 Ordinary Shares of £0.01 each. The total issued share capital with voting rights is 281,384,013.

The above figure of 281,384,013 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, GCP Infrastructure Investments Limited, under the FCA's Disclosure and Transparency Rules.

The Company

The Company is a closed-ended investment company that seeks to generate returns from senior and subordinated infrastructure debt and related and/or similar assets (the "Target Assets"). The Company achieves this by investing substantially all of its capital in GCP Infrastructure Fund Limited (the "Master Fund"), an open-ended investment company that holds the Target Assets. The Company is the majority shareholder of the Master Fund. The Company and the Master Fund are advised by Gravis Capital Partners LLP (the "Investment Adviser").
