Applications have been made for 572,610 Ordinary Shares of £0.01 each fully paid in the Company ("New Shares") to be admitted to the Official List of the Financial Conduct Authority (the "FCA") and to trading on the Main Market of the London Stock Exchange. It is expected that these New Shares will be admitted to trading on 25 November 2015.

The applications are being made pursuant to the scrip dividend alternative in lieu of cash for the dividend for the period from 1 July 2015 to 30 September 2015. Elections for a scrip dividend were received in respect of 6.29% of the Ordinary Shares in issue as at the record date of 23 October 2015. When issued, these New Shares will rank pari passu with the existing Ordinary Shares.

Following admission of the New Shares, the Company's issued share capital will consist of 577,054,196 Ordinary Shares of £0.01 each. With effect from 25 November 2015, the total number of issued shares with voting rights will be 577,054,196.

The above figure of 577,054,196 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or of a change to their interest in, GCP Infrastructure Investments Limited under the FCA's Disclosure and Transparency Rules.
