GCP Infrastructure Investments Limited ("the Company")

Additional Listing - Scrip Dividend Shares

Application has been made for 554,810 Ordinary Shares of £0.01 each fully paid in the Company ("New Shares") to be admitted to the Official List of the UKLA and to trading on the London Stock Exchange. It is expected that these New Shares will be admitted on 27 June 2013.

The application is being made pursuant to the scrip dividend alternative in lieu of cash for the interim dividend for the period from 1 October 2012 to 31 March 2013. Elections for a scrip dividend were received in respect of 6.18% of the Ordinary Shares in issue as at the record date of 31 May 2013. When issued, these New Shares will rank pari passu with the existing Ordinary Shares.

In conformity with the Financial Conduct Authority's ("FCA") Disclosure and Transparency Rules, the Company would like to notify the market of the following:

Following the allotment of 554,810 New Shares referred to above, the Company's issued share capital consists of 260,966,380 Ordinary Shares of £0.01 each. With effect from 27 June 2013, the total issued share capital with voting rights is 260,966,380.

The above figure 260,966,380 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, GCP Infrastructure Investments Limited, under the FCA's Disclosure and Transparency Rules.
