On admission of Caracal Gold plc Gerard Kisbey-Green had nominated to have his share entitlement in Caracal Gold plc issued in the name of Theseus Enterprises Limited. On 22 June 2022 Gerard Kisbey-Green signed a "Directors undertaking" (effectively a share pledge), along with a fellow Director, over Theseus' 55,300,000 shares in Caracal, as part of a financing transaction between Caracal and Mill End Limited. This pledge was subsequently called (in terms of the agreement) and Theseus transferred 55,300,000 ordinary Caracal Gold Plc shares to Mill End Limited on 3 February 2023. | ||||||

Robert Andrew Mc Crae signed a "Directors undertaking "(Effectively a share pledge), along with a fellow director, over Mansa Capital Limited 98,500,000 shares in Caracal Gold Plc, as part of a financing transaction between Caracal Gold Plc and Mill End Limited.
