GCP Asset Backed, which invests in asset backed loans, has made an application for 229,223 ordinary shares of no par value each in the Company to be admitted to the premium segment of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange. It is expected that these new ordinary share will be admitted to trading on 23 February 2018.

The application is being made pursuant to the scrip dividend alternative in lieu of cash for the interim dividend for the period from 1 October 2017 to 31 December 2017 (the "Q4 Dividend"). Elections for a scrip dividend were received in respect of 6.34% of the ordinary shares in issue as at the record date of 26 January 2018. When issued, these new ordinary shares will rank pari passu with the existing ordinary shares.

Following admission of the new ordinary shares, the Company's issued share capital will consist of 243,195,829 ordinary shares of no par value each and 75,000,000 C shares of no par value each. With effect from 23 February 2018, the total number of issued shares with voting rights will be 318,195,829.

The above figure of 318,195,829 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or of a change in the interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
