Ferrexpo PLC07 April 2008 Ferrexpo PLC 7 April 2008 Ferrexpo plc ("Ferrexpo" or the "Company") DISCLOSURE IN RELATION TO A CHARGE OVER 443,326,059 ORDINARY SHARES In accordance with DTR 3.1.2, the Company announces that it receivednotification on 7 April 2008 from Fevamotinico S.a.r.l, a connected person of MrKostyantyn Zhevago, that a charge over 443,326,059 of its ordinary shares inFerrexpo plc (the "Pledged Shares") has been granted in favour of JPMorgan ChaseBank, N.A. This replaces the charge over 443,326,058 ordinary shares of Ferrexpoplc in favour of Deutsche Bank AG, London Branch announced on 5 February 2008. In accordance with the Listing Rules, the Company announces that it has beennotified that the Global Co-Ordinator and Underwriters have, pursuant to anexemption in the lock-up agreement entered into at the time of the Company'sIPO, given their prior written consent to the grant of the Pledged Shares assecurity to JPMorgan Chase Bank, N.A for a loan. For the avoidance of doubt,this consent allows the potential disposal of the Pledged Shares were the pledgeto be enforced during the lock-up period.
