Fisher (James) & Sons PLC13 April 2007 James Fisher and Sons Public Limited Company ("the Company") ------------------------------------------------------------- Directors Interest in Shares ---------------------------- The Company has granted options to the executive directors of the Company underthe Long Term Incentive Plan (2001) which was approved by shareholders in April2001 and the Executive Share Option Scheme (2005) which was approved byshareholders on 29 April 2005 and the Inland Revenue on 17 June 2005. Long Term Incentive Plan------------------------The options granted under the Long Term Incentive Plan have been granted at anexercise price of nil cost. The award is granted subject to the performanceconditions stipulated in the scheme rules and the option is exercisable on 2April 2010 assuming that the performance conditions are met. No consideration was paid for the grant of options. Executive Share Option Scheme-----------------------------The options granted under the Executive Share Option Scheme have been granted ata price of 596p par share, being the average middle market price of a share overthe three dealing days immediately preceding the date of grant. The award isgranted subject to the performance conditions stipulated in the scheme rules andthe option is exercisable from 2 April 2010 to 2 April 2017 assuming that theperformance conditions are met.
