Director/PDMR Shareholding Notification and Grant of Options
Franchise Brands (AIM: FRAN), a multi-brand international franchise business, has been advised that on 2 August 2023, Mark Fryer, Chief Financial Officer, purchased 150,943 and his wife 34,057 ordinary shares of 0.5 pence each in the Company ("Ordinary Shares"), at 132.5p per share. Therefore, he now has a total direct and indirect beneficial interest in 185,000 Ordinary Shares, equivalent to approximately 0.1% of the Company's current issued share capital.
Mark Fryer joined the Company as Group CFO on 2 August 2023 and in connection with his appointment, on 2 August 2023, the Company's Remuneration Committee approved the grant to him of 622,641 share options over Ordinary Shares in the Company. Additionally, a further grant of 185,000 share options have been granted to Mark Fryer based on the number of Ordinary Shares in the Company he has purchased. These options have an exercise price of 132.5p per share (being the closing mid-market price of an ordinary share on 2 August 2023) and are exercisable after three years for a period of seven years. The number of share options that vest and can be exercised is subject to certain performance criteria being met as follows:
1) as to 20 per cent. after reported fully diluted adjusted earnings per share ("EPS") achieves compound annual growth of 8 per cent. over each of the next three financial years;
2) as to 100 per cent. after reported fully diluted adjusted EPS achieves compound annual growth of 15 per cent. over each of the next three financial years; and
3) between 20 per cent. to 100 per cent. on a sliding scale basis dependent on EPS growth between the targets in 1) and 2) above.
