Changes to the Flutter Board of Directors
Further to the announcement on 27 March 2020, Flutter announces that, effective from 5 May 2020, Jan Bolz and Emer Timmons have stepped down as Non-Executive Directors of Flutter and Divyesh ("Dave") Gadhia, Rafael ("Rafi") Ashkenazi, Richard Flint, Alfred F. Hurley Jr, David Lazzarato and Mary Turner have been appointed as Non-Executive Directors of Flutter. Divyesh ("Dave") has also been appointed as Deputy Chair of the Flutter board of directors.
Remuneration Arrangements on Ceasing to Hold Office
Jan Bolz and Emer Timmons will receive outstanding Non-Executive Director fees for the period to 5 May 2020.

Divyesh ("Dave") Gadhia is currently a director of The Stars Group Inc. and has not held any other directorships in publicly quoted companies during the last five years.
Until 5 May 2020 Rafael ("Rafi") Ashkenazi was a director of The Stars Group Inc. He has not held any other directorships in publicly quoted companies during the last five years.
Richard Flint is not currently a director of, and during the past five years has not held any directorships in, any publicly quoted companies.
Alfred F. Hurley, Jr. is currently a director of New Mountain Finance Corporation and until 5 May 2020 was a director of The Stars Group Inc. During the past five years has not held any directorships in any other publicly listed companies.
David Lazzarato is currently a director of The Stars Group Inc. and Canopy Growth Corporation and during the last five years held a directorship in the following publicly quoted company: Yellow Pages Limited.
Mary Turner is currently a director of The Stars Group Inc. and has not held any other directorships in publicly quoted companies during the last five years.
There are no further disclosures required in respect of these appointments pursuant to paragraph 9.6.13 of the Listing Rules of the Financial Conduct Authority.
