Directorate Changes

Flowgroup plc (AIM: FLOW), which provides residential gas and electricity supply and other energy services to over 250,000 customer fuel accounts, announces that further to the announcement on 24 May 2017, Bradley M. Tirpak, Brian F. Carroll and Jamie Brooke have been appointed as Non-Executive Directors of Flowgroup with immediate effect.

In addition, Clare Spottiswoode and Henry Cialone have stood down as Directors of the Company and John Johnston has become Non-Executive Chairman, all with immediate effect.

Bradley M. Tirpak

Bradley M. Tirpak is a Managing Director at Palm Ventures where he focuses on small cap public companies and manages various investment partnerships. From 1996 until 2008, he worked as a portfolio manager with roles at Credit Suisse First Boston, Caxton Associates, and Sigma Capital Management. Prior to his career on Wall Street, Mr. Tirpak founded Access Telecom, Inc., an international telecommunications company based in Mexico City. He has served on the Board of Directors of USA Technologies, Inc., Applied Minerals, Inc. and currently serves as the Chairman of the Board of Full House Resorts, Inc. and as a member of the Board of Directors for The HALO Trust USA. Mr. Tirpak earned a Bachelor of Science in Mechanical Engineering from Tufts University and an M.B.A. from Georgetown University.

Brian F. Carroll

Brian F. Carroll is the Managing Partner of Carroll Capital LLC. He was a member of Kohlberg Kravis Roberts & Co. L.P. (''KKR'') a global alternative asset management firm. He joined KKR in 1995 and was most recently the Head of the Consumer and Retail teams in Europe. He was also a member of the European Investment Committee. He currently serves on the Board of Directors of Laureate Education, Inc. and previously served as a member of the Board of Directors of AEP Industries, Afriflora Holdings, The Boyds Collection, Ltd., Cognita Ltd., Harman International Industries, Borden Inc., Northgate Information Solutions, Pets at Home Group plc, Rockwood Holdings, Inc., Sealy Corporation, and SMCP Groupe. Prior to joining KKR, Mr. Carroll was with Donaldson, Lufkin & Jenrette where he worked on a broad range of high yield financing, corporate finance and merchant banking transactions. He earned a B.S. and B.A.S. from the University of Pennsylvania and a M.B.A. from the Stanford University Graduate School of Business.

Jamie Brooke

Jamie Brooke is a fund manager at Lombard Odier and is founder and lead Portfolio Manager for the 1798 Volantis Catalyst Funds I & II and also leads the team's active engagement capability. Jamie has over ten years of quoted small-cap experience alongside ten years of private equity and venture capital experience at 3i and Quester. Mr. Brooke is an ACA Chartered Accountant, has a Mathematics degree from Oxford University and an Internet & Telecommunications MSC from UCL.

Bradley Matthew Tirpak, aged 47, currently holds or has held the following directorships over the past five years:

Mr. Tirpak is a manager at Palm Ventures which held, prior to Admission, 900,000 Ordinary Shares in the Company.

Brian F. Carroll

Brian Farley Carroll, aged 45, currently holds or has held the following directorships over the past five years:

Mr. Carroll is a representative of Palm Ventures which held, prior to Admission, 900,000 Ordinary Shares in the Company.

Mr. Carroll was previously a director of US based companies World Kitchen Inc., Spalding Holdings and the Boyds Collection Ltd. which previously filed for bankruptcy in 2002, 2003 and 2005 respectively. These companies were investee companies of Kohlberg Kravis Roberts & Co L.P.

Jamie Brooke

James Dominic Brooke, aged 46, currently holds or has held the following directorships and partnerships over the past five years:
