Retail Offer
Frontier IP Group plc (AIM: FIPP), a specialist in commercialising intellectual property, is pleased to announce a retail offer via BookBuild (the "Retail Offer") of up to 3,333,333 new ordinary shares ("Ordinary Shares") of 10 pence each in the capital of the Company (the "Retail Shares") at an issue price of 12 pence per Ordinary Share (the "Issue Price").
In addition to the Retail Offer, the Company is also conducting a placing of new Ordinary Shares at the Issue Price (the "Placing") and a subscription for new Ordinary Shares at the Issue Price, by all of the directors of the Company (the "Subscription"). The Retail Offer, together with the Placing and the Subscription comprise the "Fundraising". A separate announcement was made earlier today regarding the Placing and its terms, and the Subscription (the "Placing Launch Announcement"). For the avoidance of doubt, the Retail Offer is not part of the Placing or the Subscription, however, the Retail Offer is conditional upon completion of the Placing. Further details of the Placing and the Subscription can be found in the Placing Launch Announcement.
The Issue Price represents a discount of approximately 29.4 per cent to the closing middle market share price of 17 pence per Ordinary Share on 15 June 2026, being the last practicable date prior to the publication of this announcement.
The Retail Offer is conditional, inter alia, upon: (i) shareholders approving certain resolutions at a general meeting to be called by the Company (the "General Meeting") in connection with the Fundraising (the "Fundraising Resolutions"); and (ii) the Retail Shares being admitted to trading on the AIM market operated by London Stock Exchange plc (the "London Stock Exchange") ("Admission"). Subject to the Fundraising Resolutions being passed at the General Meeting, Admission is expected to take place on 16 July 2026.
The net proceeds of the Fundraising will be utilised by the Company to strengthen its balance sheet and provide working capital for the Group.

Retail Offer
The Company values its retail shareholder base, which has supported the Company alongside institutional investors since IPO in 2011. Given the support of retail shareholders, the Company believes that it is appropriate to provide new and existing retail shareholders in the United Kingdom the opportunity to participate in the Retail Offer. The Company is therefore making the Retail Offer available in the United Kingdom through the financial intermediaries which will be listed, subject to certain access restrictions, on the following website: https://www.bookbuild.live/deals/XQ2JVQ/authorised-intermediaries Shore Capital Stockbrokers Limited ("Shore Capital") will be acting as retail offer coordinator in relation to this Retail Offer (the "Retail Offer Coordinator").
Existing retail shareholders and new retail shareholders can contact their broker or wealth manager ("Intermediary") to participate in the Retail Offer. In order to participate in the Retail Offer, each intermediary must be on-boarded onto the BookBuild platform and agree to the final terms and the retail offer terms and conditions, which regulate, inter alia, the conduct of the Retail Offer on market standard terms and provide for the payment of commission to any intermediary that elects to receive a commission and/or fee (to the extent permitted by the FCA Handbook Rules) from the Retail Offer Coordinator (on behalf of the Company).
Any expenses incurred by any intermediary are for its own account.
