SHARE CONSOLIDATION: AMENDMENT TO THE OFFICIAL LIST, TOTAL VOTING RIGHTS AND SHARE CAPITAL
Further to the Company's announcement on 27 March 2018, shareholder approval was granted at the Company's General Meeting on 23 May 2018 to pay a special dividend and to undertake an associated share consolidation. The share consolidation became effective at 08.00 UK time this morning.
Admission of new ordinary shares
Accordingly, the Company's new ordinary shares of 11227/563 pence were admitted to the premium listing segment of the Official List and admitted to trading on the London Stock Exchange's main market for listed securities at 08.00 UK time today. The new ordinary shares have an ISIN of JE00BFYFZP55.
Voting rights and share capital
In accordance with DTR 5.6.1A(1), the Company's issued share capital as at 08.00 on 11 June 2018 consisted of 252,602,622 new ordinary shares of 11227/563 pence each, of which 20,446,619 shares are held in treasury.
The figure of 232,156,003 ordinary shares may therefore be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
