Result of Offer by Philex Petroleum Corporation

Further to the Offer announced on 15 May 2015, Forum Energy plc ("Forum" or the "Company") today announces that valid acceptances of the Offer have been received from Qualifying Shareholders in respect of 2,383,777 Ordinary Shares, representing 6.71 per cent. of the entire issued share capital of the Company. Therefore 2,383,777 Ordinary Shares will be purchased by Philex Petroleum Corporation at 20 pence per Ordinary Share under the Offer.

Payment of the consideration due to Qualifying Shareholders who accepted the Offer is expected to be despatched (by cheque or CREST payment, as appropriate) by no later than 1:00 p.m. (UK time) on 6 July 2015.

Following the implementation of the Offer, the Philex Concert Parties will hold 25,072,481 Ordinary Shares, representing approximately 70.53 per cent. of the entire issued share capital of the Company, and Tidemark Holdings Limited will hold 9,646,757 Ordinary Shares, representing approximately 27.14 per cent of the entire issued share capital of the Company.
