Frenkel Topping Group PLC22 August 2006 Frenkel Topping Group plc Issue of Equity and Director's Shareholding Frenkel Topping Group plc (the "Company" or "Frenkel Topping") announces that ithas acquired shares representing approximately 1.7% of each of the issued sharecapitals of Frenkel Topping Limited and Frenkel Topping Structured SettlementsLimited for a consideration of £240,000, to be satisfied by the issue to thevendors of 1,000,000 new ordinary shares of 0.5p each in the share capital ofthe Company ("Ordinary Shares") at an issue price of 24p per share. Application has been made for the Ordinary Shares to be admitted to trading onAIM and dealings are expected to commence on 29 August 2006. The new OrdinaryShares will rank pari passu in all respects with the Ordinary Shares currentlyin issue. Following the issue, the number of Ordinary Shares in issue will be54,782,947.
