Director/PDMR Shareholding
FDM Group (Holdings) Plc ("FDM" or the "Company"), a global professional services provider with a focus on Information Technology, announces that on 28 May 2024 the Directors/PDMRs named below acquired ordinary shares of £0.01 each in the capital of the Company ("Shares"), as follows:

The Shares represent an award of "Matching Shares" which the individuals were entitled to receive at no cost to them under FDM's all employee "Buy-As-You-Earn Plan" (the "Plan") and were transferred to them from FDM's Employee Benefit Trust. The award of the Shares follows their vesting in accordance with the Plan, with the number of Shares representing 33.3% of the number of Shares purchased by each of the PDMRs using their respective monthly contributions made to the Plan in the 2022 calendar year (the "Purchased Shares"). The award of Matching Shares was settled net, after deduction of the tax payable by the individuals on the award.
If the Purchased Shares continue to be retained in the Plan for the required period, each individual named above will be entitled to receive further awards of "Matching Shares" in respect of the Purchased Shares, as follows:
· 33.3% in 2026; and
· 33.3% in 2028.
