Award of Options
and
Director shareholding
Further to the Company's announcement on 6 June 2023 ("Announcement"), FireAngel (AIM: FA.), one of Europe's leading developers and suppliers of home safety products, announces further details of the award of options ("Options") over the Company's ordinary shares of 2 pence each (the "Shares") to Neil Radley, the Company's Chief Executive Officer, under its Long-Term Incentive Plan ('LTIP'). Pursuant to the calculation set out in the Announcement, Options over 7,263,157 Shares were awarded to Mr Radley on 7 June 2023.
In addition, on 11 August 2023, Options over 4,264,000 Shares were awarded to Zoe Fox, the Company's Chief Finance Officer, under the LTIP.
The Options may be exercised at any time after 31 December 2025 ("Vesting Date"), at a cost to the employee of the nominal value of the Shares, being 2 pence per Share. The Options expire on 11 August 2033.
Vesting of the Options is dependent on a performance target, based on total shareholder return ("TSR"). The maximum number of Options that vest and become exercisable into Shares on the Vesting Date is calculated as follows for the performance condition:

Greater than 8p to 11p | 50% |
Greater than 11p to 15p | 75% |
Greater than 15p | 100% |
In the event of an acquisition (or equivalent) 50% shares vest at any price up to 8.0p and 100% above 8.0p.
Following the above awards, the total interest of Mrs Fox and Mr Radley in Shares, warrants and options over Shares is as follows:
