ET-CHINA.COM INTERNATIONAL HOLDINGS LIMITED
("Et-china", "the Group" or "the Company")
Et-chinaΒ strengthens onlineΒ presenceΒ with acquisition of Yoee.comΒ Ltd
Β
Yoee.comΒ was founded in 2003 by Justin Xiong,Β chiefΒ executive, and theΒ BeijingΒ Foreign Enterprise Air ServiceΒ Ltd, the biggest airline ticketing consolidator inΒ China, and is nowΒ one of theΒ leadingΒ online travelΒ brandsΒ inΒ North China.Β Yoee.comΒ wasΒ the first company inΒ ChinaΒ to provide real-time onlineΒ searchΒ and bookingΒ servicesΒ for both domestic and internationalΒ air travel. Yoee.comΒ is primarily engaged inΒ the sale of air tickets, hotel rooms, insurance and package tours to frequent independent travellers throughΒ its web siteΒ and 24 hour call centre.
Et-china'sΒ DirectorsΒ believe that the acquisition has compelling strategic and financialΒ benefitsΒ for both companies.Β TheΒ combined entity will consolidate Et-china'sΒ online travel divisionΒ asΒ aΒ top 3 player nationwideΒ and significantly increase the Group'sΒ product, distributionΒ andΒ service capabilitiesΒ acrossΒ the wholeΒ ofΒ ChinaΒ in the fast growing frequent independent travellers (FIT) market.Β Β TheΒ acquisitionΒ of Yoee.com willΒ transformΒ the focus ofΒ Et-china'sΒ FITΒ operation fromΒ solelyΒ South ChinaΒ to aΒ trulyΒ national operation.
Β
Following the acquisition,Β Yoee.com's key management, including Mr. Justin Xiong, will relocate fromΒ BeijingΒ toΒ Guangzhou. Mr. Xiong is a highly successfulΒ InternetΒ entrepreneur, co-foundingΒ aΒ retail website, Joyo.com and growing it to becomeΒ China's largest retailer of books, music and videos before it was acquired by Amazon.comΒ in 2004.Β After the saleΒ of Joyo.com,Β Justin has successfully grown Yoee.com into one of the leading online travel companies inΒ NorthΒ ChinaΒ with limited funding.Β In his new roleΒ asΒ COOΒ of Et-china'sΒ FITΒ business, Mr. XiongΒ will be responsible for developing Et-china's fast growingΒ FITΒ business allowing the Group's CEO, Matthew Ng,Β more timeΒ to pursue strategic initiatives.
Β
For the year endedΒ 31 December 2007, Yoee.com reported aΒ gross profit of RMB 8.7 million and a loss beforeΒ tax of RMB 2.9 million on revenue of RMB 13.7 million.Β
Matthew Ng,Β Et-china'sΒ President and Chief Executive Officer, commented:Β "I am delightedΒ thatΒ we have reached agreement to combine Et-china and Yoee.comΒ to create an enlarged group which is strongly placed toΒ take advantage of theΒ tremendousΒ opportunities inΒ theΒ fast growing Chinese travel industry.Β This is an industry transforming event,Β asΒ this acquisition marks a step change in the scale of Et-china'sΒ FITΒ business."
"Our frequent independent travel operations will benefit significantlyΒ fromΒ Yoee.com's strong online customer baseΒ and the dynamic leadership of Justin, while Yoee.comΒ will gainΒ from Et-china's scalable technology platform. The complementary strengths of both companies will allowΒ theΒ enlargedΒ GroupΒ toΒ furtherΒ expand the reach and scope of our travel services and products as well as our customer base.Β Β This firstΒ acquisitionΒ of Et-china sinceΒ itsΒ IPOΒ marks aΒ significantΒ stage in the Company'sΒ progressiveΒ growth into theΒ FITΒ segment of the travel market."
