Transaction in Own Shares
Essentra plc ("Essentra", or the "Company") announces that on 21 November 2025 it purchased the following number of its ordinary shares of 25 pence each in the Company ("Ordinary Shares") from Peel Hunt LLP as part of the buyback programme announced on 29 March 2023 (the "Buyback Programme").

Essentra intends to cancel the purchased Ordinary Shares.
Following the settlement of the above purchases and cancellation, Essentra will have 285,287,244
Ordinary Shares of 25 pence each in issue (excluding 3,127,057 Ordinary Shares of 25 pence each held in treasury).
Upon cancellation, the figure 285,287,244 will represent the total number of voting rights in Essentra and can be used by shareholders once the shares have been cancelled as the denominator for the calculations by which they can determine if they are required to notify their interest in, or change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
