Results of Annual General Meeting
2 March 2011
The Directors of PowerShares Global Funds Ireland plc (the "Company") wish to announce that the special resolution regarding amendments to the Articles of Association of the Company (the "Articles") as detailed in a notification sent to shareholders on 28 January 2011, was passed at an annual general meeting of the Company held on 25 February 2011. Accordingly, the Articles have been amended as follows:
1. All references in the Articles to the "Financial Regulator" (including the
definition thereof) have been replaced with "Central Bank" and a definition
of "Central Bank" has been added.
2. All references to the "Companies Act 1963 to 2006" in the Articles have
been amended to the "Companies Act 1963 to 2009" to reflect the passing of
the Companies (Amendment) Act, 2009.
3. The definition of Regulated Market in the Articles has been updated to
state the following:
"means any stock exchange or regulated market, as set out in the Prospectus."
4. Article 15(d) has been deleted in its entirety and the following provisions
of Article 15 have been renumbered accordingly.
5. A new paragraph has been added as Article 15(l) to state the following:
"With the exception of permitted investments in unlisted securities, the Company will only invest in those securities and derivative instruments listed or traded on a stock exchange or market (including derivative markets) which meets with the regulatory criteria (regulated, operate regularly, be recognised and open to the public) and which is listed in the Prospectus."
The above changes take effect on 25 February 2011.
A copy of the Circular to shareholders containing the Notice of Annual General Meeting dated 28 January 2011 has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.Hemscott.com/nsm.do.
