Warrant Exercise and Issue of Equity

Earthport has applied to the London Stock Exchange for 227,273 new ordinary shares of 10 pence each to be admitted to trading on AIM. These shares have been issued in relation to the exercise of warrants.

It is expected that Admission will become effective on or around 5 December 2011. The New Ordinary Shares will rank pari passu in all respects with the existing issued Ordinary Shares.

Following Admission, the Company's enlarged issued share capital will comprise 255,847,870 ordinary shares with one voting right per share. No shares are held in Treasury. The total number of voting rights in the Company is therefore 255,847,870.

This figure of 255,847,870 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
