The payment of dividends for the financial year 2023 by Societatea Energetica Electrica S.A.
Societatea Energetica Electrica S.A. (Electrica or the Company) informs its shareholders that, following the resolution of the ordinary general meeting of the shareholders dated 25 April 2024, will pay the dividends for the financial year 2023, through Depozitarul Central S.A. and the payment agent BRD - Groupe Société Générale S.A., starting on Payment Date, with ex‑date on 30 May 2024, to Electrica's shareholders, registered within the Shareholders' Register, held by Depozitarul Central on the registration date of 31 May 2024 (Registration Date).
The value of the gross dividend is RON 0.1178 per share, and the tax on dividend will be withheld by applying the appropriate legal tax rates, as the case may be.
IMPORTANT: We specify that we are in a special situation, the reasons being detailed in the current report dated 25 April 2024, available on:

Thus, the Payment Date cannot be clearly established at this moment, because, taking into account the legal provisions of Law 31/1990, Electrica will not be able to pay the dividends until the deadlines stipulated by Law 31/1990 have been fulfilled.
Electrica has taken all steps for the immediate submission of the EGMS Decision no. 1/25 April 2024 (regarding the cancelation of its own shares and the reduction of the share capital) to the ORC Bucharest (Bucharest Trade Register Office) for publication in the Official Gazette, in an attempt to reduce the impact on the dividend payment date, established through OGMS Decision no. 2/ 25 Apri 2024 . The EGMS decision above mentioned was published in MOF 2268/10.05.2024.
As the company will have clarity regarding the date when the dividends can be paid, it will inform the shareholders and investors accordingly.
Details concerning the payment methods of the dividends are presented in the document annexed to this report (Announcement regarding the 2023 dividends payment method), as well as on Electrica's website https://www.electrica.ro/en/, under Investors > Shares and Shareholders > Dividends section. The announcement regarding the 2023 dividends payment method will also be published in the newspaper Romania Libera.
