Issue of Shares and Joint Share Ownership Awards

Issue of new Ordinary Shares

Eco Animal Health Group plc announces that the Company has, on 21 October 2011, issued and allotted a total of 784,000 new ordinary shares of 5p each in the Company ("Ordinary Shares"), representing 1.42 per cent of the enlarged issued share capital of the Company. Of this number, 764,000 were issued at a subscription price of 214p per ordinary share, this being the closing price of a share in the Company on 20 October 2011, pursuant to The ECO Animal Health Group Employees' Joint Share Ownership Plan ("the Plan"), and a further 20,000 were issued at a subscription price of £1.085 as a result of the exercise of options by an employee below board level.

Of the total number of shares issued, 625,000 shares have been issued into the respective joint beneficial ownership of (i) each of the participating executive Directors named below and (ii) the trustee of The ECO Animal Health Group Employees' Share Trust ("the Trust") upon and subject to the terms of joint ownership agreements ("JOAs") respectively entered into between the Director concerned, the Company and Appleby Trust (Jersey) Limited as trustee of the Trust ("the Trustee"). The subscription price has been paid by the Trust out of funds advanced to it by the Company.

The balance remaining of 159,000 shares have been issued to four other employees and the Trust upon and subject to JOA's on terms similar to those entered into by the executive directors on this occasion.

Application for admission to AIM of the 784,000 new Ordinary Shares has been made and it is expected that admission will happen on 27 October 2011.

The Directors of the Company will, following admission, hold beneficial interests as follows:

Disclosure and Transparency Rules

In accordance with the FSA's Disclosure and Transparency Rules, the Company's issued share capital following the admission of the Ordinary Shares will comprise 55,030,451 ordinary shares of 5p with voting rights.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
