EXERCISE OF SHARE OPTIONS
discoverIE Group plc (LSE:DSCV, the "Company") announces that application has been made to the UK Listing Authority and the London Stock Exchange for a listing and admission of 1,898,921 ordinary shares of 5 pence each in the Company ("Shares"). These new Shares are being issued and allotted pursuant to the exercise of options under the Company's 2008 Long Term Incentive Plan and will rank equally with the existing issued ordinary shares.
In respect of the Company's 2008 Long Term Incentive Plan options being exercised, the Company has been notified that Mr Nick Jefferies, Group Chief Executive, and Mr Simon Gibbins, Group Finance Director, have exercised in full their options over Shares which vested in connection with awards granted on 31 March 2010, 20 July 2010, 28 March 2012 and 28 March 2013. These nil cost options relate to the three year performance periods ended 31 March 2013, 20 July 2013, 28 March 2015 and 28 March 2016. Further details relating to the performance conditions of the awards are set out in the Annual Report and Accounts 2013, 2015 and 2016 which were mailed to shareholders on 20 June 2013, 26 June 2015 and 17 June 2016.
The table below shows the number of options exercised and shares to be issued to Nick Jefferies and Simon Gibbins. In addition, a total of 637,140 options have been exercised by other employees of the Company pursuant to vested awards at the same dates.

Following Admission, Nick Jefferies will hold a total of 1,343,166 Shares and Simon Gibbins will hold a total of 456,662 Shares.
Following Admission, which is expected to take place on 11 June 2018, the total number of Shares in issue and voting rights in the Company will be 73,316,777 Shares. There are no Shares held in treasury.
The above figure (73,316,777) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
