Exercise of Options

Dotdigital Group Plc (AIM:DOTD), the leading provider of intuitive Software as a Service and managed services to digital marketing professionals, announces that pursuant to an exercise of share options under the Company's approved Enterprise Management Incentive Share Option Scheme today, it has issued and allotted 1,557,930 ordinary shares of 0.5p each ("Ordinary Shares").

Application has been made for the 1,557,930 new Ordinary Shares to be admitted to trading on AIM which is expected to occur on or around 14 December 2015.

Following this allotment, the Company's issued share capital consists of 294,184,789 Ordinary Shares of which a total of 660,000 Ordinary Shares are held in treasury. Therefore, the total number of Ordinary Shares with voting rights in the Company is 293,524,789.

The above figure of 293,524,789 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
