Transaction in own shares

Dunelm Group plc (the "Company") announces that it has purchased, in accordance with the authority granted by shareholders at the Company's Annual General Meeting on 24 November 2015, the following number of its ordinary shares of one pence each ("Shares") as part of the buyback programme initially announced on 11 July 2016:

Date of purchase: 20 July 2016

Number of Shares purchased: 50,000 Shares

Highest price paid per Share: 850.0 pence

Lowest price paid per Share: 840.5 pence

Average price paid per Share: 847.2747 pence

The Company intends to hold these Shares in Treasury for reissue to meet obligations arising from share options granted to employees of the Company (or an associate company).

Including Shares which have been purchased but not yet settled, the Company holds 1,122,076 Shares in Treasury.

Following this transaction Company's issued ordinary share capital consists of 202,833,931 Shares of which a total of 1,122,076 Shares are held in treasury, including Shares which have been purchased but not yet settled. Therefore the total number of Shares with voting rights in the Company is 201,711,855

The above figure of 201,711,855 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
