DUNELM GROUP plc
RETURN OF CAPITAL OF 21.5 PENCE PER SHARE BY WAY OF A "B" SHARE SCHEME
Pursuant to the Return of Capital by way of an issue of B Shares of 21.5 pence detailed in the circular sent by Dunelm Group plc (the "Company") to its shareholders dated 25 February 2010, (the "Circular") and approved by its shareholders on 18 March 2010, one B Share in the Company was issued to each shareholder for every ordinary share in the Company held by that shareholder at 6.00pm on 18 March 2010.
The Return of Capital provided shareholders with three options in relation to their B Shares. As at the close of the election period at 4:30 p.m. on 25 March 2010, the results of shareholder elections were as follows:
·; valid elections to accept the Initial B Share Redemption were made in relation to 176,671,664 B Shares (88.02 per cent. of the issued B Shares);
·; valid elections to accept the Single B Share Dividend were made in relation to 22,409,734 B Shares (11.16 per cent. of the issued B Shares); and
·; valid elections to accept the Final B Share Redemption were made in relation to 1,641,733 B Shares (0.82 per cent. of the issued B Shares).
The numbers above include deemed elections, as provided in the Circular; where no election was made the Initial B Share Redemption applied by default (except where applicable in the case of certain US Shareholders).
