NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY AND CONNECTED PERSONS
Share bonus awards vesting to Nick Wilkinson
On 15 September 2022 share incentive awards vested to Nick Wilkinson, Chief Executive under the Dunelm 2020 Share Plan, in respect of ordinary shares of one pence each in the Company.

Mr Wilkinson sold 15,616 shares at a price of £7.50 per share to fund the payment of his income tax and national insurance liabilities and dealing costs on exercise and retained the balance of 16,650 shares.
Notes:
1. The awards were made in accordance with the 2020 Remuneration Policy approved by shareholders on 17 November 2020 (the "2020 Policy").
2. The award in respect of the FY20 annual bonus was not subject to performance as the quantum reflects bonus earned in that year after applying performance criteria.
3. The award in respect of the FY21 annual bonus was subject to the satisfaction of performance criteria in respect of the FY21 financial year, which was determined in September 2021. The number of shares above is the number vesting after applying these criteria. Full details were set out in the FY21 annual report.
4. Special dividend equivalents have been paid in respect of shares vesting under both tranches of the awards in respect of the special dividends of 65p per share paid on 8 October 2021 and of 37p per share paid on 18 March 2022. These were paid in shares and added to the number of shares vesting as set out above. Details will be set out in the FY22 annual report.
5. On exercise, Mr Wilkinson has committed to retain at least two thirds of the shares vesting (after sale to cover his tax and national insurance liability on exercise) for the duration of employment. In addition, shareholding requirements apply for the duration of employment and for two years from termination of employment, as set out in the 2020 Policy.
6. The award is subject to adjustment, malus and clawback as set out in the 2020 Policy and the rules of the plan.

Following the transaction set out above, Mr Wilkinson is beneficially interested in ordinary shares of one pence each in the Company as follows:
