NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Dunelm Group plc (the "Company") has been notified that on 6 March 2012 Donna Wharton, the wife of Nick Wharton, Chief Executive of the Company, purchased 9,500 ordinary shares of 1p each in the Company at a price of 480 pence per share.

Mr Wharton's beneficial interest in the Company's shares following this purchase is 39,500 ordinary shares of 1 pence each, 0.02% of the issued ordinary shares.

In addition to the beneficial interest noted above, Mr Wharton has a conditional interest in 393,684 ordinary shares pursuant to awards made under the Dunelm Long-Term Incentive Plan, and in 2,493 ordinary shares pursuant to options granted under the Company's Savings Related Share Option Scheme.
