RETURN OF CAPITAL UNDER B/C SHARE SCHEME 

NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Dunelm Group plc has been notified by its directors that on 19 November 2012 they and their connected persons acquired interests in B Shares (which were subsequently converted into Deferred Shares) and C Shares under the Return of Capital as follows:

*W A Capital Limited is a private company established by W L Adderley to act as a long term holding company for his beneficial shareholding in the Company. W L Adderley is the sole director and shareholder of W A Capital Limited.

Nadine Adderley is W L Adderley's wife.

W L Adderley is deemed to hold a legal interest in 1,167,250 Ordinary Shares held by The Leicester Foundation and 172,750 Ordinary Shares held by the Paddocks Trust. W L Adderley and his wife Nadine Adderley are the trustees, but not beneficiaries, of The Leicester Foundation and the Paddocks Trust.

All Directors disposed of their interests in C Shares and Deferred Shares to UBS Limited following the purchase by UBS Limited of the C Shares for 32.5 pence per share and the Deferred Shares for a total consideration of one penny on 20 November 2012.

Unless the context otherwise requires, capitalised terms used in this announcement shall have the same meaning ascribed to them in the circular published by the Company on 15 October 2012 in relation to the B/C Share Scheme.
