Danka Business Systems PLC08 September 2005 For immediate release 8 September 2005 Danka Business Systems PLC ("Danka" or the "Company") DIRECTORS' SHAREHOLDINGS The Company announces that a total of 342,664 Ordinary Shares, in the form of85,666 American Depositary Shares ("ADSs") were issued on 7th September 2005 tothe Company's non-executive directors pursuant to the terms of the Danka 2002Outside Director Stock Compensation Plan ("the Plan"), at a price of $2.43 perADS (equivalent to £0.33 per Ordinary Share). Under the terms of the Plan, whichwas approved at the Annual General Meeting on 22nd October 2002, eachnon-executive director is eligible to be issued with restricted shares to thevalue of $30,000 as part of his or her annual compensation. The issue price isthe average of 20 days market prices for the ADSs for the period from 8 August2005 to 2 September 2005, as required by the Plan.
