Further re Business Update
BigDish Plc (LON: DISH), announced on 17 July 2020 that "Application has been made for the Salary Sacrifice Shares and the Employee/Consultant Shares to be admitted to trading ("Admission") alongside the Deferred Consideration Shares Balance, Pouncer Shares and Fee Shares that were previously announced on 29 June 2020. Admission is expected to occur on or around 22 July 2020."
Admission is now expected to occur on or around 24 July 2020. The total number of shares being admitted are 24,670,468. This remains unchanged from the previous RNS. The breakdown of the shares and the dates announced is set out below.
• 5,803,177 shares which represents the Salary Sacrifice Shares as announced on 17 July 2020;
• 3,646,851 shares which represents the Employee/Consultant Shares as announced on 17 July 2020;
• 3,421,488 shares which represents the Deferred Consideration Shares Balance that was announced on 29 June 2020;
• 8,162,589 shares which represents the Pouncer Shares which was announced on 29 June 2020;
• 3,636,363 shares which represents the Fee Shares which was announced on 29 June 2020.
Following Admission, the number of Ordinary Shares in issue will be 373,620,823. Therefore the total number of voting rights in the Company is 373,620,823. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
The Company wishes to remind shareholders that it is a non-UK issuer for the purposes of the Disclosure Guidance and Transparency Rules. As such, a person must notify the issuer of the percentage of its voting rights he holds as a shareholder if the percentage of voting rights reaches, exceeds, or falls below 5%, 10%, 15%, 20%, 25%, 30%, 50% and 75%. The Company will make public the notification within three trading days following receipt.
Updated TR-1 Notification
The Company has received an updated TR-1 Notification from Monza Capital Ventures Ltd, a party associated with Aidan Bishop. The previous TR-1 Notification stated incorrectly that there were 373,830,623 shares in issue as opposed to 373,620,823 as stated above. Details of the updated TR-1 Notification is set out below.
