Update on conditional subscription rights with Intrinsic Capital Jersey Limited ("ICJL")

The Company is pleased to announce that it has agreed with ICJL to amend the first tranche of the £10.0m conditional subscription rights originally announced on 13 May 2020, as follows:

a) Prior to the publication of a prospectus, as detailed in the 13 May 2020 announcement, it has been agreed that 2.5m of the first tranche of 20m subscription shares will be completed on or before 31 July 2020, raising £250,000 before related costs; and

b) the balance of 17.5m shares will be subscribed for subject to the publication by the Company of a prospectus by the original back stop date of 31st August 2020, raising £1.75 million before related costs.

The initial £250,000 will support the Company in enabling a faster global rollout of its careers development platforms and allow the Company to quickly launch in new markets such as India and China as part of the recently announced partnership with Veative. The 2.5m shares are being issued in accordance with the available headroom that the Company retains to issue new shares without the prior publication of a prospectus. All other details of the conditional subscription rights remain as originally announced on 13 May 2020.

The Company will make a further announcement once the initial 2.5m ordinary shares have been issued to ICJL.
