TOTAL VOTING RIGHTS AND SHARE CAPITAL

The following is released in accordance with DTR 5.6:-

As at 30 November 2012, Debenhams plc's capital consists of 1,286,806,299 ordinary shares of 0.01p each. The Company holds 29,205,383 ordinary shares in Treasury.

Therefore, the total number of voting rights in Debenhams plc is 1,257,600,916 . This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Debenhams plc under the FSA's Disclosure and Transparency Rules.
