Director's Shareholding
Dolphin Capital InvestorsΒ Limited ("DCI" orΒ theΒ "Company")Β announces that Dolphin Capital Participations Limited ("DCPart"), a wholly owned subsidiary of Dolphin Capital Holdings Limited ("DCH") in turnΒ ownedΒ 75% by Mr. Kambourides,Β hasΒ onΒ 12 MayΒ 2008Β chargedΒ 25,000,000Β DCIΒ common shares as security for a loan facility from Bank of Cyprus Public Company Limited ("BoC").Β
TheΒ loanΒ facilityΒ canΒ onlyΒ beΒ drawn downΒ by DCPartΒ should furtherΒ purchases of common shares in the CompanyΒ beΒ made.Β The charging ofΒ the common shares constitutes aΒ share dealing pursuant to the AIM Rules and by dint of his interest in DCPart, a notifiable dealing by Miltos KambouridesΒ as a director of the Company.Β DCPart willΒ maintain theΒ votingΒ rightsΒ of theΒ chargedΒ sharesΒ and willΒ remain entitled to any corresponding dividends payable to the charged shares,Β whilst the terms of the facility are complied with.Β Β
To allow forΒ BoC to take aΒ legalΒ charge over theΒ 25,000,000Β DCIΒ common shares, the Company and Panmure Gordon have consented to a release of the terms of the DCPartΒ lock-upΒ undertakingΒ for the 25,000,000 DCI common shares.Β The remaining 6,535,149 DCI common shares owned by DCPart and anyΒ of the 25,000,000Β common shares whichΒ areΒ subsequently released from theΒ legalΒ charge to BoC will remain subject to the terms of the DCPart lock-up undertakingΒ which expires in March 2010.Β The 31,535,149 shares were issued to DCPart on 25 March 2008 following the exercise of over-performance warrants.Β
Following the charging of the common shares held by DCPart,Β the total number of common shares in the Company controlled byΒ Miltos KambouridesΒ which are subject to a chargeΒ hasΒ changed as follows:
