("DCD Media" or the "Company")

Conversion Notice

DCD Media plc has received a conversion notice from Timeweave plc to convert £595,750.00 in principal of its convertible loan notes into 59,575,000 ordinary shares of 1p each in the share capital of the Company ("Ordinary Shares" and "Conversion"). Following the Conversion Timeweave plc will be interested in 59,575,000 Ordinary Shares representing 29.99% of the Company's issued share capital as enlarged by the Conversion.

Application will be made for the 59,575,000 Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will occur at 8.00am on 18 April 2012.

The total number of Ordinary Shares in issue following the Conversion will be 198,670,283.
