PLUS MARKETS GROUP PLC ("THE COMPANY") PROSPECTUS DIRECTIVEThe company, whose wholly owned subsidiary, OFEX plc, operates the Ofex market,announces that it is consulting on proposed changes to the Ofex Rules forIssuers, which will be necessary following the implementation of the ProspectusDirective ("PD") into domestic law on 1 July 2005. Ofex believes that it is important to balance the needs of the investors andthe companies it serves by setting appropriate disclosure standards within aclear and simple framework. It was this approach, which underpinned itsrecent, wider rule reform that received the support of key institutionalinvestors in smaller companies. Consequently, Ofex's proposals incorporate only the changes required by the PDbut insofar as possible seek to avoid imposing additional burdens upon itscompanies, especially those which may be more appropriate for larger issuers.
