3. AGREEMENTS TO PURCHASE OR SELL ETC.

| On 5 May 2006, Ashley Head granted Hurlstone Limited an option over such number of ordinary shares as is equal to the lower of: (i) 29.9% of the Company's issued share capital from time to time; and (ii) 82.5% of the Company's shares held by Ashley Head, up to a fixed cap. Based on the issued share capital of the Company of 92,465,258, Hurlstone is entitled to call 27,647,112 Ordinary Shares, being 29.9% of the issued share capital of the Company.
