Total Voting Rights

In accordance with Chapter 5 (Vote Holder and Issuer Notification Rules) of the Financial Conduct Authority's Disclosure Guidance and Transparency Rules (the "DTRs"), Darktrace plc ("Darktrace") makes the following announcement:

As at 31 July 2024 Darktrace had a total of 703,683,540 ordinary shares of £0.01 nominal value each issued and admitted to trading and each share carries the right to one vote (the "Ordinary Shares").

Darktrace holds 3,249,536 Ordinary Shares as treasury shares with no voting rights.

Therefore, at the close of business on 31 July 2024 the total voting rights figure of 700,434,004 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Darktrace under the DTRs.
