Total Voting Rights and Capital

In conformity with the Financial Conduct Authority's (FCA) Disclosure and Transparency Rules, Ceres would like to notify the market of the following: The Company's capital consists of 536,747,311 ordinary shares of 1p each with voting rights.

The Company holds no ordinary shares in Treasury. Therefore, the total number of voting rights in the Company is 536,747,311 The above figure 536,747,311 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
