Ceres Power Holdings plc05 December 2006 Ceres Power Holdings plc (the "Company") The Company announces that on 4 December 2006, Mr. John Gunn, a non-executivedirector of the Company, exercised 122,500 warrants over Ordinary Shares in theCompany. The warrants required exercise prior to 31 January 2007 and prior tothe commencement of the Company's close period. Mr. Gunn sold 22,500 OrdinaryShares at 224 pence per share to fund the warrant exercise. Mr. Gunn's total holding in the Company will therefore increase by 100,000Ordinary Shares to 185,280 Ordinary Shares, representing approximately 0.32 percent of the Company's issued share capital. Mr. Gunn also has beneficialinterests in 700,000 Ordinary Shares in the Company in addition to 122,640warrants over Ordinary Shares in the Company.
